TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VELOCITY MOTORS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Velocity Motors, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our Services
• Your violation of any law or the rights of a third party
• Any content you submit or transmit through our Services

11. Governing Law and Jurisdiction

11.1 Applicable Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or our Services shall be brought exclusively in the competent courts of Croatia. You hereby consent to the personal jurisdiction of such courts and waive any objection to the venue of any such action or proceeding in such courts.

11.3 European Union Rights

If you are a consumer residing in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer to rely on mandatory provisions of local law.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute through good faith negotiations.

12.2 Mediation

If the dispute cannot be resolved informally within thirty (30) days, either party may initiate mediation proceedings. The mediation shall be conducted in accordance with the rules of the Croatian Chamber of Economy.

12.3 Litigation

If mediation fails to resolve the dispute, either party may commence litigation in accordance with Section 11 above.

12.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

13. Termination

13.1 Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our Services will immediately cease.

13.2 Termination by You

You may terminate your account at any time by contacting us or by using the account deletion feature if available. Upon termination, you will no longer have access to your account or any content associated with it.

13.3 Effect of Termination

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on our Services, constitute the entire agreement between you and Velocity Motors concerning your use of our Services.

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.
